This RESMAP License Agreement (this "Agreement"), effective today, is between you, the "Licensee" and Liskin Swint-Kruse ("LSK"). The parties agree as follows.

1. The Software: The "Software" means the RESMAP program (and certain related documentation), in object code only.
2. License: LSK grants to Licensee a non-exclusive, nontransferable, license to install and use the Software only for its own internal, non-commercial: (1) academic, (2) non-profit, or (3) government-sponsored-research purposes. Commercial or external use of the Software requires a separate written license agreement. "Non-commercial" means academic or other scholarly research which (a) is not undertaken for profit, or (b) is not intended to produce works, services, or data for commercial use, or (c) is neither conducted, nor funded, by a person or an entity engaged in the commercial use, application or exploitation of works similar to the Software.
3. Restrictions: As conditions to the license granted:
   1. Licensee shall not modify, improve, or create derivative works of the Software.
   2. Licensee shall not use the Software except for the limited purposes of the license.
   3. Licensee shall not distribute or transfer the Software to any person without prior written permission from LSK.
   4. Licensee shall not attempt to reverse engineer, decompile, or disassemble the Software.
   The license shall cease immediately, without notice, upon failure of any of the above conditions.
4. Ownership: Licensee agrees that Licensee shall have no ownership rights or intellectual property rights in the Software.
5. Confidentiality: Licensee shall not use or disclose or permit others to use or disclose the Software except as expressly permitted in this Agreement. Licensee shall use its best efforts to protect the contents of the Software and to prevent unauthorized disclosure by its agents, officers, employees, and consultants. If the Licensee receives a request to furnish all or any portion of the Software to a third party, Licensee shall not comply but shall immediately notify LSK and shall refer the third party to LSK.
6. Copies: Licensee may make a reasonable number of copies of the Software for the purposes of backup on condition that each copy shall bear all copyright notices and proprietary notices.
7. Publication Acknowledgement: Licensee shall conspicuously acknowledge use of the Software in any publication of results obtained with the Software.
8. Disclaimer of Warranties and Limitation of Liability: LSK DISCLAIMS AND EXCLUDES ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LSK MAKES NO WARRANTY THAT THE SOFTWARE WILL NOT INFRINGE ANY PATENT OR OTHER PROPRIETARY RIGHT. IN NO EVENT SHALL LSK BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
9. Termination. Licensee's rights shall terminate automatically without notice if Licensee fails to comply with any term of this Agreement. Licensee may terminate this Agreement by written notice to LSK. Upon any termination, Licensee shall immediately discontinue all use of the Software and shall destroy the original and all copies of the Software and associated documentation. Sections 4, 5, and 7-10 shall survive termination of this Agreement.
10. General: This Agreement shall be governed by the laws of the State of Kansas, excluding conflicts of law rules. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods. If any provision of this Agreement is held invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect. This Agreement is binding upon any heirs and assigns of the Licensee. The license granted to Licensee may not be assigned or transferred to any person without the express written consent of LSK. This Agreement constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior agreements or understandings, oral or written, concerning the Software.
